Terms of Sale

The Terms and Conditions of Sale pertain to all quotations, orders and contracts for Martin Brattrud, Inc. (“MB”) furniture products.

Prices

Except where noted, all prices are List. Prices are F.O.B. Martin Brattrud Inc., Gardena, California, and are subject to change without notice. High quality cartoning meeting trucking and railroad specifications is standard at no extra charge when furniture is shipped within the continental United States. For other destinations, contact the factory for cartoning charges. Pricing does not include freight, installation, taxes, tariffs or storage. MB reserves the right to change prices and specifications without notice.

Payment Terms

Standard terms are a 50% deposit with the balance due prior to shipment. Accounts with approved credit can be given terms of 50% deposit with balance of NET 30 days. Open accounts with established credit may receive NET 30 terms from date of invoice. All accounts are subject to the customer’s credit limit. Any account exceeding MB’s normal payment terms will be assessed a service charge of 1.5% per month, accrued monthly.

Change Order

Requests for order changes must be made in writing. MB reserves the right to not accept the requested changes. MB may accept a change order after first establishing the time and costs to do so, including labor, materials and administrative costs.

Cancellation

Orders may not be terminated without MB’s consent. Order cancellations cannot be accepted after fabric has been cut, after the order is in production or materials have been ordered.

Merchandise Return Policy

A written Return Authorization (RA) Form must be issued by MB prior to the return of any merchandise. Unauthorized returns will be refused by MB’s receiving department. All sales are final.

Damaged or defective merchandise may be returned only after receiving MB’s permission along with instructions for shipping and return. The liability for any defective merchandise shall be limited to the replacement or repair of the merchandise at the sole option of MB. MB shall not be liable for any other damages or losses.

Beyond the factory MB offers no allowance for repairs to any of its products that have been damaged unless there is permission in writing. MB may request a customer prepaid return of a product in question to the factory for inspection. If a claim is justified, MB will refund freight costs, repairs and even replace a product at its expenses.

Delivery

MB is not responsible for failures of delivery when those failure are caused by matters beyond MB’s reasonable control. Beyond MB’s reasonable control include, but are not limited to, war, terrorism, pandemics, labor disputes, supply chains for raw materials, supplies, transportation, fire, acts of God and nature, societal unrest, acts of government.

Storage

MB has no storage for completed orders. No shipment can be postponed by the customer. If a customer cannot accept delivery of goods when ready for shipment, MB has no ability to assist and the finished products should not be placed in an environment where temperature and humidity are not controlled. MB’s Warranty is invalidated with such conditions. Proper parameter for storage conditions resemble those standards for people: a temperature range of 50-80 F and humidity held to between 25-40%.

If MB arranges transportation to a storage facility, such transfer to the storage facility shall be deemed delivery to the customer and an invoice shall be issued at that time. All costs associated with the delivery, including rental for storage and the risks of damage and loss involved, are the responsibility of the customer.

Leather and textile shipments for orders are to be shipped to:

Tag the shipment with at least the name of the customer and the Purchase Order number.

Shipping from Martin Brattrud

MB will ship in accordance with customer instructions when shipping is collect.

MB will ship via Martin Brattrud Guaranteed Freight Program all orders within the continental United States which do not have specific customer shipping instructions or have not prepaid shipping. QuickShip15 orders ship Guaranteed Freight. MB reserves the right to split ship orders. Further details of MB’s Guaranteed Freight Program are at the MB web site.

MB can assist in shipping outside the continental United States. The Guaranteed Freight Program does not apply.

MB advises that all products be inspected at the time of delivery. Do not receive or sign for damaged goods. If there is any damage, document and photograph the damage thoroughly including the outside of the box and its contents. Expedite your claim by sending your documentation to MB. All freight claims are the responsibility for MB to file. Speed is essential to make the claim and also setting in motion production for repair or replacement.

If damage is concealed, only being noticed when unpacked, it should be documented and the carrier and MB be contacted within 5 days of delivery to request an inspection. If the carrier fails to answer the request for an inspection, this along with the documentation will reinforce the claim. If the customer does not report damage in a timely manner, this will increase the position of the carrier as not being at fault. In these cases, replacement responsibility falls to the customer.

If too many goods are delivered or too few, do not accept the delivery until it is noted on the bill of lading and the freight bill. Contact MB immediately.
